- "Client", "you", "your" refers to any individual or organisation that engages our services or accesses our website.
- "Services" refers to the business consulting services we provide, including but not limited to international expansion advisory, cross-cultural management consultation, and global operations review.

- "Agreement" refers to these Terms and Conditions together with any service agreement, proposal, or engagement letter entered into between us.

Latitude Consulting provides professional business consulting services designed to help organisations navigate international business challenges. Our core service offerings include:
- International Expansion Advisory: Guidance for organisations considering growth into new geographic markets, including market assessment, entry mode analysis, and expansion planning.
- Cross-Cultural Management Consultation: Support for organisations working across cultural boundaries, including cultural capability assessment and development recommendations.
- Global Operations Review: Examination of how organisations manage operations across multiple locations, with recommendations for optimisation.
The specific scope, deliverables, timeline, and fees for any engagement will be detailed in a separate service agreement or engagement letter.
4. Client Responsibilities
To enable us to deliver effective Services, you agree to:
- Provide accurate, complete, and timely information relevant to the engagement
- Make appropriate personnel available for interviews, meetings, and consultations
- Grant reasonable access to relevant documents, systems, and facilities as required
- Review and provide feedback on draft deliverables within agreed timeframes
- Pay all fees and expenses as agreed in the service agreement
- Obtain any necessary internal approvals or consents for the engagement
Delays or failures in meeting these responsibilities may affect our ability to deliver Services and may result in additional fees or timeline adjustments.
5. Acceptable Use
When using our Website, you agree not to:
- Use the Website for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorised access to any part of the Website or its systems
- Interfere with or disrupt the Website's operation or servers
- Transmit any viruses, malware, or other harmful code
- Collect or harvest any information from the Website without authorisation

6. Intellectual Property

6.2 Deliverables
Upon full payment of all fees, you will own the specific Deliverables created for your engagement. However, we retain ownership of our pre-existing methodologies, frameworks, tools, know-how, and general knowledge, including any improvements or developments made during the engagement. We grant you a non-exclusive licence to use such materials solely in connection with the Deliverables.
6.3 Client Materials
You retain ownership of all information, data, and materials you provide to us. You grant us a limited licence to use such materials solely for the purpose of delivering the Services.
7. Fees and Payment
Service fees are as specified in the applicable service agreement. Unless otherwise agreed:
- All fees are quoted in Hong Kong Dollars (HKD)
- Payment is due within 30 days of invoice date
- A deposit of 50% may be required before commencement of Services
- Reasonable expenses incurred in delivering Services will be reimbursed at cost
- Late payments may incur interest at 2% per month or the maximum rate permitted by law
We reserve the right to suspend Services if payments are overdue. All fees are non-refundable once Services have commenced, except as otherwise specified in the service agreement.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was known to the receiving party prior to disclosure
- Is independently developed by the receiving party
- Is disclosed with the disclosing party's prior written consent
- Is required to be disclosed by law or court order
Confidentiality obligations survive the termination of our engagement for a period of three years.
9. Disclaimers
Our Services consist of professional advice based on our analysis and experience. Please note that:
- Our recommendations are provided "as is" and are based on information available at the time of engagement
- We do not warrant any specific business outcomes or results from our Services
- Business decisions involve inherent uncertainties and risks beyond our control
- Our Services do not constitute legal, tax, or accounting advice unless specifically stated
- Website content is provided for general information only and may not reflect current developments
You are responsible for making your own business decisions and should seek independent professional advice where appropriate.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from or related to our Services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim
- We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost business opportunities
- We shall not be liable for any losses arising from your failure to provide accurate information or follow our recommendations
- We shall not be liable for any third-party actions or market conditions affecting your business
These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
11. Indemnification
You agree to indemnify, defend, and hold harmless Latitude Consulting, its directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to your breach of these Terms, your use of our Services, or any third-party claims related to information or materials you provide to us.
12. Termination
Either party may terminate an engagement:
- By mutual written agreement
- By providing written notice as specified in the service agreement (typically 30 days)
- Immediately if the other party materially breaches the agreement and fails to cure within 14 days of notice
- Immediately if the other party becomes insolvent or enters bankruptcy proceedings
Upon termination, you shall pay all fees for Services rendered up to the termination date. We shall deliver any completed Deliverables for which payment has been received.
13. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or our Services:
- The parties shall first attempt to resolve the dispute through good faith negotiation
- If negotiation fails, the parties agree to submit the dispute to mediation administered by the Hong Kong International Arbitration Centre (HKIAC)
- If mediation fails, the dispute shall be resolved by arbitration in accordance with HKIAC Administered Arbitration Rules
- The seat of arbitration shall be Hong Kong, and the language shall be English
14. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong for any matters not subject to arbitration.
15. General Provisions
- Entire Agreement: These Terms, together with any service agreement, constitute the entire agreement between the parties regarding the subject matter hereof.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: No waiver of any provision shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor or affiliate.
- Force Majeure: Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or public health emergencies.
- Notices: Notices under these Terms shall be in writing and sent to the addresses specified in the service agreement or as updated by either party.
